In short
- Every project starts with a written quote or agreement that sets out scope, price and timeline.
- Once you have paid in full, you own the custom work we build for you. Our ready-made products are licensed, not sold.
- You keep ownership of your business data. We use it only to deliver and support your solution.
- Either side can end an agreement with notice. You pay for the work completed up to that point.
Acceptance of these terms
By visiting this website (nandhika.in), requesting a quote, signing a project agreement or using any software, website or system provided by Nandhika, you agree to these Terms & Conditions. If you are accepting on behalf of a company or organisation, you confirm that you have the authority to bind it.
If a signed project agreement, statement of work or licence agreement conflicts with these terms, the signed document takes priority for that engagement.
Who we are
“Nandhika”, “we”, “us” and “our” refer to Nandhika (nandhika.in), a brand of Bela Enterprises, with its office at Krishnapur, Deypara, Garalgacha, Chanditala, Hooghly, West Bengal – 712708. “You” and “client” refer to the person or business using our website or services.
Our services
We design, build, deploy and support:
- custom software and business applications;
- custom websites;
- ready-made business solutions, including Account Management, Point of Sale (POS) Management, Inventory Management, Ticket Management and Local Cable Network Management systems;
- related hosting, maintenance, training and support services.
The exact features, deliverables and timelines for your engagement are described in your quote or project agreement. Information on this website is a general description and is not an offer.
Quotes and project agreements
- Quotes are valid for 30 days unless they state otherwise.
- Work begins once the quote or agreement is accepted in writing (including by email) and any advance payment is received.
- Changes to the agreed scope are handled through a written change request. Extra work may change the price and the timeline, and we will confirm both before starting.
- Timelines depend on you providing content, feedback, approvals and access on time. Delays on your side may move the delivery date.
- Each milestone is treated as accepted if you do not report a defect within 10 working days of delivery.
Your responsibilities
To help us deliver on time, you agree to:
- give accurate information about your business processes and requirements;
- provide content, logos, product data and other materials you have the right to use;
- name a contact person who can make decisions and approve work;
- keep your user accounts, passwords and devices secure, and tell us promptly about any unauthorised access;
- comply with the laws that apply to your business, including tax, consumer protection and data protection laws, when you use the systems we provide.
Fees, payment and taxes
- Fees, payment milestones and due dates are set out in your quote or agreement. Unless stated otherwise, invoices are payable within 15 days.
- All prices are in Indian Rupees (₹) and exclude GST and other applicable taxes, which will be added to the invoice.
- Subscription, licence, hosting and support fees are billed in advance for each billing period and are non-refundable for a period that has already started.
- If an invoice is overdue by more than 15 days, we may pause work or suspend access to hosted services after giving you written notice.
- Third-party costs, such as domain names, SMS gateways, payment gateways or app store fees, are charged as agreed or paid by you directly.
Intellectual property
Custom work
Once you have paid all fees for a project in full, you own the custom designs, source code and content created specifically for you under that project, unless your agreement says otherwise.
Our pre-existing tools
We keep ownership of the frameworks, libraries, components, templates and know-how we developed before or outside your project. Where these are part of your deliverable, you receive a permanent, non-exclusive licence to use them as part of that deliverable.
Your materials
You keep ownership of your data, content, trademarks and other materials. You give us permission to use them only to perform the services.
Portfolio
We may mention your business name and show non-confidential screenshots of the work in our portfolio, unless you ask us not to in writing.
Licences for ready-made solutions
Our ready-made products (Account, POS, Inventory, Ticket and Cable Network Management) are licensed, not sold. For the licence period you have paid for, we grant you a non-exclusive, non-transferable right to use the product for your own business, within the number of users, locations or subscribers in your plan.
You may not resell, sublicense, copy, reverse engineer or modify the product, except where the law allows it or we agree in writing. Customisations we build on top of a licensed product are covered by the same licence unless your agreement says otherwise.
Hosting, maintenance and support
- Support hours, response times and the channels you can use (phone, email or ticket) are set out in your support plan.
- We aim to keep hosted services available at all times, apart from scheduled maintenance, which we will announce in advance where possible.
- We take regular backups of hosted systems. You should also keep your own copies of important records and exports.
- Support covers the software as delivered. Problems caused by changes made by others, unsupported devices, or misuse may be charged separately.
Confidentiality
Both sides will keep each other's confidential information private and use it only for the engagement. This includes business processes, pricing, customer lists, source code and data. This duty does not cover information that is already public, was lawfully known before, or must be disclosed by law. It continues for three years after the engagement ends.
How we handle personal data is explained in our Privacy Policy.
Acceptable use
You agree not to use our website or any system we provide to:
- break any law or regulation, or infringe anyone's rights;
- upload malware, or try to gain unauthorised access to our systems or other clients' data;
- send spam or unsolicited messages through SMS, email or notification features;
- overload, disrupt or test the security of our infrastructure without our written permission.
We may suspend access that puts our systems or other clients at risk. We will tell you why, and restore access once the issue is resolved.
Third-party services
Some solutions connect to services run by others, such as payment gateways, SMS providers, cloud hosting, maps or accounting tools. Their own terms apply to those services. We are not responsible for their availability, pricing changes or actions, but we will help you resolve integration problems.
Warranties and disclaimers
We will perform our services with reasonable skill and care. For 30 days after go-live, we will fix at no charge any defect that stops the delivered software from working as described in the agreed scope.
Apart from this, and to the extent the law allows, our services and software are provided “as is”. We do not promise that the software will be completely error-free or uninterrupted, or that it will produce specific business results. You are responsible for checking that reports, tax calculations and financial records meet your legal obligations.
Limitation of liability
To the extent the law allows:
- neither side is liable for indirect or consequential losses, such as loss of profit, revenue, goodwill or data, even if warned they might happen;
- our total liability for any claim under an engagement is limited to the fees you paid us for that engagement in the 12 months before the claim.
Nothing in these terms limits liability for fraud, gross negligence, wilful misconduct, or anything else that cannot be limited by law.
Termination
- Either side may end a project or subscription with 30 days' written notice.
- Either side may end it immediately if the other seriously breaks these terms and does not fix the breach within 15 days of being told.
- When an engagement ends, you pay for work completed and costs already committed up to the end date.
- For hosted solutions, we will give you an export of your data in a standard format if you request it within 30 days of the end date. After that, we may delete it.
Governing law and disputes
These terms are governed by the laws of India. We will first try to settle any dispute through good-faith discussion between senior representatives. If it is not resolved within 30 days, the courts at [city, e.g. Kolkata] will have exclusive jurisdiction.
Changes to these terms
We may update these terms from time to time. The “Last updated” date at the top shows when they last changed. For significant changes that affect active clients, we will give at least 15 days' notice by email. Changes do not affect signed agreements already in force unless both sides agree.
